Terms of Service

1. Identity and contact details

The VoltaicOS platform is operated by VoltaicOS Technologies Co., Ltd., a company incorporated in Thailand, Tax ID / DBD company registration number 0835569016808, registered office 46/419 Phrabaramee Rd, Kathu, Kathu District, Phuket 83120, Thailand.

2. SaaS licence and permitted use

Subject to these Terms and payment of the applicable fees, VoltaicOS grants the customer a non-exclusive, non-transferable, non-sublicensable right to access and use the platform during the subscription term, solely for the customer's internal business purposes.

The platform is provided as a hosted service. No copy of the software is delivered, sold or licensed for installation.

3. Account, organisation and authorised users

Each customer operates within its own tenant organisation. The customer is responsible for the accuracy of its account information, for the users it authorises, for role and permission assignment, and for all activity performed under its accounts.

Credentials must not be shared. The customer must notify VoltaicOS without undue delay of any suspected unauthorised access.

4. Plans, included users, limits and additional users

Functionality, included user seats and usage limits depend on the subscribed plan as published on the pricing page at the time of subscription. Additional users and higher limits may be available on request and are charged separately.

VoltaicOS may apply fair-use and technical limits to protect service stability.

5. Subscription, fees, VAT, renewal, cancellation and suspension

Subscriptions start when the plan is activated and renew for successive periods unless cancelled before the end of the then-current period. Fees are stated exclusive of VAT and other applicable taxes, which are added where required by Thai law.

Cancellation takes effect at the end of the current paid period; fees already paid are non-refundable except where mandatory law provides otherwise.

VoltaicOS may suspend access for non-payment, security incidents, or material breach of these Terms, after notice where reasonably practicable.

6. Payment Receipts for VoltaicOS subscriptions

For subscription payments made to VoltaicOS, the platform may issue a Payment Receipt confirming that a payment has been recorded. A Payment Receipt is a confirmation of payment only.

7. Tax Invoices are issued externally

Official Tax Invoices are issued outside the platform through the customer's or VoltaicOS's accounting processes. VoltaicOS does not generate official Tax Invoices within the platform, and no document produced by the platform should be treated as an official Tax Invoice.

8. PPA Billing Notes are operational documents

PPA Billing Notes, provisional billing outputs and related settlement documents produced in the platform are operational commercial documents used between the customer and its counterparties. They are not Tax Invoices and carry no tax or fiscal status.

Provisional billing outputs are explicitly not certified and do not represent completed VoltaicOS validation.

9. Service availability, maintenance and support

VoltaicOS uses commercially reasonable efforts to keep the platform available, subject to planned maintenance, emergency maintenance and events outside its reasonable control. Support scope and response targets follow the subscribed plan or the applicable service agreement.

10. Customer ownership of tenant data

The customer retains all rights in the data it or its authorised users upload, connect or generate in its tenant, including energy, asset, contract, customer and financial records. VoltaicOS processes tenant data only to provide, secure, support and improve the service in accordance with these Terms and the Privacy Notice.

11. VoltaicOS intellectual property

The platform, its software, interfaces, documentation, models, data structures and trademarks remain the exclusive property of VoltaicOS and its licensors. No rights are granted other than the limited access right in section 2.

Aggregated, de-identified statistics that cannot be attributed to a customer may be used to operate and improve the service.

12. Confidentiality and security responsibilities

Each party keeps the other party's non-public information confidential. VoltaicOS applies technical and organisational security measures appropriate to the risk.

The customer is responsible for its own device security, access management, offboarding of users and the lawfulness of the data it uploads.

13. Data export and termination assistance

During the subscription term the customer may export its tenant data using the platform's export features. Following termination, VoltaicOS makes tenant data available for export for a limited retrieval period stated in the Privacy Notice, after which it is deleted or anonymised in accordance with retention rules and applicable law.

14. Acceptable use

• No reselling, sublicensing or providing access to third parties outside the subscribed organisation, unless expressly agreed.
• No reverse engineering, decompiling or attempting to derive source code.
• No penetration testing, load testing or vulnerability scanning without prior written approval.
• No unlawful, infringing, deceptive or harmful content, and no upload of malicious code.
• No use of the platform to circumvent legal, tax or regulatory obligations.

15. Warranties, disclaimers and liability

The platform is provided on an "as is" and "as available" basis. VoltaicOS does not warrant uninterrupted or error-free operation, and does not warrant the accuracy or completeness of third-party data, meter data, inverter data or external references ingested into the platform.

To the maximum extent permitted by law, VoltaicOS is not liable for indirect, incidental or consequential loss, loss of profit, revenue, production, contracts or data. VoltaicOS's aggregate liability in any twelve-month period is limited to the subscription fees paid by the customer for the platform in that period.

Nothing in these Terms excludes liability that cannot be excluded under Thai law.

16. Complaints and dispute resolution

Complaints may be submitted to support@voltaic-os.com. VoltaicOS acknowledges complaints and works in good faith to resolve them within a reasonable period, escalating internally where necessary. Records of complaints and their resolution are maintained for service administration and regulatory compliance.

The parties will attempt to resolve disputes amicably before commencing proceedings.

17. Governing law and jurisdiction

These Terms are governed by the laws of the Kingdom of Thailand. The competent courts of Thailand have exclusive jurisdiction, without prejudice to any mandatory consumer or statutory protections.

18. Service boundary — what VoltaicOS is and is not

VoltaicOS is a business-to-business SaaS management tool. VoltaicOS:

• is not an e-commerce marketplace;
• does not identify, introduce or match contractual counterparties;
• is not a party, broker or agent in customers' EPC, O&M or PPA agreements;
• does not negotiate or execute contracts on behalf of customers;
• does not provide investment, credit or financial advice;
• does not hold, transmit or settle customer funds;
• does not provide escrow services;
• only records or reconciles payment information supplied by customers or their authorised providers;
• does not publish personal data or complete documents on a blockchain;
• uses blockchain, where applicable, only for cryptographic integrity evidence.

19. Version, effective date and change history

Version 1.1, effective 2026-10-07 — updated official company registration, address and contact details. Version 1.0 dated 2026-09-03 was the initial document.

Material changes will be published on this page with a new version number and effective date, and, where acceptance is required, users will be asked to accept the new version.
